1Acceptance of Terms & Entity Identification

This Master User Agreement and Terms & Conditions (hereinafter referred to as the "Agreement" or "Terms") constitutes a legally binding electronic contract between you (whether an individual couple, event host, prospective client, freelance artist, registered vendor, business enterprise, or casual visitor, collectively referred to as "User", "You", or "Vendor") and SAS TECHNOLOGY (hereinafter referred to as "Company", "SAS TECHNOLOGY", "We", "Us", or "Our"), having its registered head operational office located at Near Parivahan Office, ROY Building, Ambikapur, District Surguja, Chhattisgarh - 497001, India.

SAS TECHNOLOGY is the sole creator, owner, developer, financial administrator, and legal operator of the digital wedding and celebration technology portal branded as WedPoint (accessible via wedpoint.in and affiliated sub-domains, APIs, and mobile interfaces). All commercial agreements, GST invoices, Razorpay merchant collections, banking disbursements, and contractual representations are strictly executed by and under the legal authority of SAS TECHNOLOGY.

By accessing, browsing, registering an account, publishing a business listing, submitting customer inquiries, utilizing the WP Stories studio, or purchasing digital SaaS subscriptions on WedPoint, you explicitly acknowledge that you have read, understood, and agreed to be unconditionally bound by these Terms, along with our Privacy Policy and Cancellation & Refund Policy.

2Definitions & Interpretation

• "Platform" refers to the web portal wedpoint.in, its mobile responsive web apps, software modules, algorithms, database architectures, and associated digital services operated by SAS TECHNOLOGY.
• "Vendor" refers to any commercial establishment, banquet hall owner, wedding photographer, caterer, decorator, bridal makeup artist, DJ entertainer, choreographer, or event professional who creates an account or business profile on the Platform.
• "Client" / "Couple" refers to any user who browses vendor listings, submits quotes, uses wedding planning tools (e.g., Budget Calculator, Checklist), or initiates direct WhatsApp / phone inquiries.
• "Paid Services" refers to digital SaaS subscriptions (Starter, Pro, Premium tiers), search rank sponsorship slots, and billboard banner placements billed by SAS TECHNOLOGY via Razorpay.
• "WP Stories" refers to the editorial and user-generated wedding inspiration magazine and portfolio blogging ecosystem hosted on the Platform.

3Intermediary Status under Information Technology Act, 2000

In accordance with Section 79 of the Information Technology Act, 2000 (India) and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, SAS TECHNOLOGY operates WedPoint strictly as an online marketplace and intermediary communication platform.

4User Eligibility & Account Security

You represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts under the Indian Contract Act, 1872. If you are registering a vendor account on behalf of a partnership firm, LLP, or private limited company, you affirm that you have full authorization to bind said entity to these Terms.

Users are solely responsible for maintaining the confidentiality of their login credentials (phone number, OTP, passwords). Any action performed under your verified account shall be deemed authorized by you. SAS TECHNOLOGY shall not be liable for any unauthorized access resulting from user negligence.

5Vendor Onboarding, KYC Verification & Profile Integrity

Vendors registering on WedPoint must provide accurate, current, and verifiable business details, including but not limited to business legal name, contact phone, operating city/district in Chhattisgarh or India, starting price points, and portfolio photographs.

• KYC Documentation: SAS TECHNOLOGY reserves the right to request government identity proofs (Aadhaar, PAN), GST registration certificates, or trade licenses prior to awarding the "WP Verified" or "Official Blue Tick" trust badge.
• Misleading Portfolios: Uploading stock photographs, images shot by other studios without written copyright permission, or making false claims regarding awards will lead to immediate profile delisting without refund.
• Price Transparency: Vendors agree to honor reasonable pricing benchmarks and discount offers published on their storefront.

6Commercial SaaS Subscriptions, GST & Razorpay Payments

All financial transactions for vendor directory upgrades, premium ranking slots, verified trust certifications, and sponsored billboard banners are billed by SAS TECHNOLOGY.

• Payment Gateway Partner: Online payments are routed securely through our authorized banking aggregator Razorpay Software Private Limited, complying with PCI-DSS Level 1 encryption protocols.
• Taxation & GST: All subscription fees are subject to prevailing Goods and Services Tax (GST) regulations in India. Invoices will be generated under the legal GST registration of SAS TECHNOLOGY.
• 0% Client Commission: SAS TECHNOLOGY does NOT charge any percentage brokerage or commission on the final event contract closed between couples and vendors.

7Customer Inquiries, WhatsApp Sync & Lead Generation

When a client uses the "Send Inquiry", "Quick Connect", or "Claim Deal on WhatsApp" features, the client authorizes SAS TECHNOLOGY to transmit their submitted contact details (Name, Mobile Number, Event Date) to the respective vendor for quotation purposes.

Vendors agree to communicate professionally and refrain from sending unsolicited bulk spam, abusive messages, or unauthorized promotional broadcasts outside the context of the wedding inquiry.

8Content Guidelines, WP Stories & Automated Compression

When uploading photographs, articles, real wedding highlights, or promotional deals:

• The User grants SAS TECHNOLOGY a worldwide, non-exclusive, royalty-free license to host, display, resize, compress, index for SEO, and promote such media on the Platform and social channels.
• Our client-side hardware-accelerated compression engine processes images to Full HD (<200KB) for optimal site performance; vendors agree that this optimization maintains visual integrity without altering original authorship.
• Content depicting nudity, hate speech, copyrighted music without sync rights, or defamatory claims is strictly banned and subject to automated removal.

9Intellectual Property Rights

The trademark WedPoint, associated logos, graphic assets, user experience designs, algorithmic ranking mechanisms, software source code, database structures, and platform domain names are the sole and exclusive intellectual property of SAS TECHNOLOGY. No entity may copy, reproduce, scrape, reverse-engineer, or mirror any portion of the Platform without express prior written consent from SAS TECHNOLOGY.

10Prohibited Activities & Security Violations

Users and Vendors are explicitly prohibited from:

• Deploying web scrapers, crawlers, bots, or automated extraction tools on the Platform.
• Attempting to bypass security headers, authentication tokens, or rate limiters.
• Posting counterfeit customer reviews or manipulating rating stars through coordinated fraud.
• Using the Platform to solicit vendors for competing directory services.

11Disclaimer of Warranties & Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SAS TECHNOLOGY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL SAS TECHNOLOGY, ITS FOUNDERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM VENDOR DELAY, VENDOR CANCELLATION, QUALITY DEFICIENCIES, EVENT PROPERTY DAMAGE, OR PERSONAL INJURY OCCURRING AT A WEDDING VENUE. IN ALL CASES, SAS TECHNOLOGY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY THE USER TO SAS TECHNOLOGY IN THE PRECEDING THREE (3) MONTHS.

12Indemnification

You agree to defend, indemnify, and hold harmless SAS TECHNOLOGY, its proprietors, affiliates, and representatives from and against any third-party claims, liabilities, losses, damages, or legal expenses (including reasonable attorney fees) arising from your breach of these Terms, infringement of intellectual property, or misconduct at any event.

13Dispute Resolution, Governing Law & Jurisdiction

This Agreement shall be construed in accordance with the laws of the Republic of India. In the event of any controversy or dispute, the parties shall first attempt to resolve the matter amicably through good-faith mutual negotiations.

If unresolved within thirty (30) business days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, seated at Ambikapur, Chhattisgarh. Subject to arbitration, the civil courts in Ambikapur, District Surguja, Chhattisgarh, India shall have exclusive territorial and subject-matter jurisdiction.
